1. Acceptance of Terms
By accessing or using API for Whats (referred to as the “Service”), you agree to be bound by these Terms and any additional terms and conditions that may apply. If you do not agree with any part of these Terms, you must not use the Service.
2. Changes to Terms
We may update or modify these Terms from time to time at our sole discretion. When we make changes, we will update the “Effective date” at the top of this page. Any changes will become effective when posted. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
3. Account and Access
To access certain features of the Service, you may be required to create an account using your email address and a password or another authentication method. You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activities that occur under your account; and
- Promptly notifying us of any unauthorized use of your account or other security breach.
4. Your Responsibilities
You are solely responsible for any content you send, upload, post, email, or otherwise transmit through the Service, including content sent via our APIs. You agree that you will:
- Use the Service only in compliance with all applicable laws and regulations;
- Not use the Service for any unlawful, harmful, or abusive purposes; and
- Ensure that your use of the Service complies with any third-party terms (such as WhatsApp’s own policies) that may apply.
5. Payment and Fees
Access to the Service may be provided on a subscription basis. Subscription plans, billing cycles, and associated fees will be described on our pricing page or in a separate agreement with you. Unless otherwise stated:
- Subscriptions renew automatically at the end of each billing period unless cancelled;
- Fees are non-refundable except where required by applicable law; and
- We reserve the right to change subscription fees upon reasonable notice.
Your continued use of the Service after a fee change becomes effective constitutes acceptance of the new pricing.
6. Intellectual Property
The Service, including all associated software, documentation, design, text, graphics, logos, and other content, is and will remain the exclusive property of API for Whats and/or its licensors.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes in accordance with these Terms. No rights are granted to you other than those expressly stated in these Terms.
7. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that:
- You have violated these Terms or applicable law;
- Your use of the Service may cause harm or liability to us, other users, or third parties; or
- We are required to do so by law or by a third-party platform provider.
Upon termination, your right to use the Service will immediately cease. Certain provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property, limitation of liability, and governing law.
8. Limitation of Liability
To the fullest extent permitted by law, API for Whats and its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses arising out of or in connection with:
- Your access to, use of, or inability to use the Service;
- Any conduct or content of any third party on or through the Service; or
- Any unauthorized access, use, or alteration of your transmissions or content.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which API for Whats is legally established, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
